Acceptance of Terms

By accessing our website, requesting a quotation, or placing an order with Mashamba TM (“we,” “our,” or “us”), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

Services and Orders

We specialise in the sourcing, packing, and export of fresh produce from Uganda to international wholesale buyers. All orders are subject to availability, specification confirmation, and written acceptance by our team.

Purchase orders must include commodity, grade/spec, quantities, preferred flight dates, delivery airport, and any certification requirements. We reserve the right to decline or modify orders to maintain quality and compliance.

Pricing, Payment, and Invoicing

Unless stated otherwise in writing, prices are quoted in British Pounds (GBP), Euros (EUR), Gulf currencies (e.g., AED, SAR, QAR), US Dollars (USD), or Ugandan Shillings (UGX), as per the client’s request. Prices may vary due to market conditions, currency movements, freight availability, or regulatory changes. The price on our pro forma invoice supersedes prior quotations.

Payment terms are as stated on the invoice (e.g., advance payment, letter of credit, or approved account). Late payments may attract reasonable interest charges and/or suspension of further deliveries.

Shipping, Risk, and Title

Shipments are typically dispatched via Entebbe International Airport (EBB). Risk and title transfer according to the agreed Incoterms (e.g., FOB, CIF). Where we arrange freight, we will book reputable carriers; however, transit schedules are not guaranteed and may change due to airline operations, customs, or weather conditions.

The buyer is responsible for timely customs clearance, local duties/taxes, and any import permits required at destination.

Quality Assurance and Claims

Produce is packed to export-grade specifications and inspected prior to dispatch. On arrival, the buyer must inspect goods promptly. Any quality concerns must be reported in writing within 24 hours of delivery, supported by clear photos/videos, airway bill references, and an independent inspection report where possible.

Our liability for any accepted claim is limited—at our discretion—to replacement, credit note, or a refund for the affected portion only. We are not liable for losses arising from improper handling, storage, delays beyond our control, or onward resale.

Compliance and Certifications

We operate in line with applicable export standards and may provide certifications upon request (e.g., phytosanitary, packing list, commercial invoice, and other regulatory documents). Buyers must communicate specific certification needs at the time of order.

Intellectual Property

All website content, trademarks, logos, text, images, and materials are owned by or licensed to Mashamba TM and are protected by applicable IP laws. You may not reproduce or use them without our prior written consent.

You agree not to misuse our website or services, including attempts to interfere with security, scrape data without permission, or engage in unlawful or fraudulent activities.

Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, including loss of profit, market, or goodwill. Our aggregate liability in connection with any order is limited to the amount paid for the affected goods.

Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your breach of these Terms & Conditions or your misuse of our website or services.

Force Majeure

We are not responsible for delays or failure to perform due to events beyond our reasonable control, including but not limited to airline disruptions, government actions, pandemics, extreme weather, or supply shortages.

Termination

We reserve the right to suspend or terminate access to our website or services at any time, without prior notice, if you breach these Terms & Conditions or engage in misuse of our services.

Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms & Conditions constitute the entire agreement between you and Mashamba TM and supersede any prior agreements, understandings, or communications, unless expressly agreed otherwise in writing.

Changes to These Terms

We may update these Terms & Conditions from time to time. Updates take effect when posted on this page. Your continued use of our website or services constitutes acceptance of the revised terms.

Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Uganda. Any dispute shall first be addressed amicably between the parties; failing which, it shall be referred to competent courts in Uganda or to an alternative dispute mechanism agreed by both parties.
